Terms of Service

By creating an account, accessing, or using the LayBuild AI Customer Support Platform ("the Service"), you enter into a legally binding agreement with LayBuild AI ("LayBuild", "we", "our", or "us"). If you are entering into these Terms on behalf of an entity, company, or organization, you represent and warrant that you possess the full legal authority to bind that entity to these Terms. You must be at least 18 years old to access or use the Service.

LayBuild AI provides an enterprise customer communication platform featuring multi-agent AI orchestration, conversational knowledge-base retrieval, human-operator handoff workflows, and third-party channel integrations (including website widgets and messaging endpoints). We reserve the right to enhance, iterate, or modify platform features over time to preserve system integrity, compliance, and performance.

You must provide accurate, current, and complete information during workspace registration. You are solely responsible for safeguarding all administrative credentials, API tokens, and member invitations associated with your workspace. You agree to notify us immediately at [email protected] upon discovering any unauthorized access, credential leak, or breach of security.

Customer Content: As between the parties, you retain all right, title, and ownership interest in all materials, knowledge-base documents, support ticket histories, and conversational transcripts uploaded or processed through your workspace ("Customer Content"). You grant LayBuild AI a non-exclusive, worldwide, royalty-free license solely to host, process, retrieve, and display Customer Content as strictly necessary to operate the Service for your workspace. Platform IP: LayBuild AI and its licensors retain all proprietary rights, title, and interest in and to the platform, including our software, algorithms, model routing heuristics, interface designs, documentation, and trademarks. No rights are granted to you except as expressly set forth herein.

You agree not to use or permit any third party to use the Service: - To probe, scan, or test the vulnerability of our systems or breach any authentication or authorization measures. - To launch prompt-injection, adversarial jailbreaking, or denial-of-service attempts against underlying language models or APIs. - To reverse engineer, decompile, or disassemble any aspect of the Service, or build a competitive product using proprietary platform methods. - To store, transmit, or process unlawful, defamatory, fraudulent, or harassing content, or content that infringes upon third-party intellectual property rights. - To violate statutory consumer protection regulations, spam regulations, or privacy laws.

Our platform employs state-of-the-art language models and semantic retrieval to generate autonomous customer responses based on your uploaded knowledge materials. Verification Responsibility: While our retrieval-augmented generation and guardrails are engineered to prevent false statements, conversational AI models inherently produce statistical predictions. LayBuild AI does not warrant that AI-generated responses will be error-free or perfectly suited for every edge case. You are responsible for configuring appropriate guardrails, reviewing human-handoff triggers, and monitoring autonomous agent behavior in accordance with your organization's compliance requirements.

Subscription Plans: Paid subscriptions are billed in advance on a recurring monthly or annual basis depending on your selected tier. Fees are non-refundable once billed, as detailed in our Cancellation and Refund Policy. Automatic Renewal: Subscriptions automatically renew at the close of each billing cycle unless cancelled through your billing portal prior to the renewal date. Taxes & Overages: All platform fees are exclusive of applicable taxes, levies, or duties unless stated otherwise. If your workspace exceeds allocated agent conversation or seat limits, additional usage will be billed according to published rate cards.

Each party agrees to preserve the confidentiality of proprietary information disclosed by the other party ("Confidential Information"). Confidential Information includes Customer Content, workspace configurations, technical architectures, and pricing terms. Neither party will disclose Confidential Information to any third party, except to employees, contractors, and subprocessors who need to know such information to fulfill service obligations and who are bound by confidentiality terms at least as restrictive as these.

We strive to maintain high platform availability and target 99.9% uptime for core conversation routing and API endpoints. Routine maintenance windows are scheduled during periods of low anticipated traffic, with advance notice posted to system status channels whenever practicable. We are not liable for service degradation caused by third-party model outages, network transit failures, or force majeure events.

Except as expressly provided herein, the Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, LayBuild AI disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to these Terms or the Service. Except for indemnity obligations or gross negligence, each party's aggregate cumulative liability arising out of or relating to the Service will be strictly limited to the total fees actually paid by customer to LayBuild AI in the twelve (12) months preceding the incident giving rise to liability.

Customer Indemnification: You agree to defend, indemnify, and hold harmless LayBuild AI and its officers, directors, and employees from and against any third-party claims, damages, liabilities, and expenses arising from your Customer Content, violation of our Acceptable Use Policy, or breach of applicable law. Provider Indemnification: LayBuild AI agrees to defend you against any third-party claim alleging that the platform software infringes a registered copyright or patent, and will pay damages awarded by a court of competent jurisdiction, provided you give prompt written notice and control of the defense.

Term: These Terms commence upon your initial account registration and remain in effect until your subscription is terminated. Termination for Convenience: You may terminate your subscription at any time via account settings. Termination takes effect at the end of the current pre-paid billing cycle. Suspension & Termination for Cause: We may suspend or terminate workspace access immediately if you violate our Acceptable Use Policy, fail to resolve overdue balances within 14 days of notice, or pose a security risk to the platform. Upon termination, access to the workspace ceases and data is processed according to our Privacy Policy retention guidelines.

Informal Resolution: Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute informally by contacting [email protected]. Governing Law: These Terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in state or federal courts located in Delaware, and the parties consent to personal jurisdiction therein.

Entire Agreement: These Terms, together with our Privacy Policy and Cancellation and Refund Policy, constitute the entire agreement between you and LayBuild AI regarding the Service. Severability: If any provision is deemed unenforceable, the remaining provisions will remain in full force and effect. Modifications: We may update these Terms from time to time.
